Our activities encompass legal advisory on corporate aspects of companies, their relationship with partners, managers, directors and other stakeholders, consultancy about the application of the relevant legislation regarding many subjects and situations that can be faced during corporate activities, including in corporate restructuring and equity and estate planning.
We assist our clients in drafting instruments of incorporation of companies, amendments to the articles of association and bylaws, change of corporate type, in holding shareholders meetings and drafting of their calls and minutes, drafting of investment agreements, shareholders’ agreements, call and put option instruments, agreements with executive officers and directors, among others.
Our work also encompasses the assistance on registrations of corporate acts and related documents before Boards of Trade, Registry Offices and other public bodies, including registration and filing of declarations before the Brazilian Central Bank, by coordinating the work of paralegals that work in partnership with our law firm.
