We render legal assistance to our clients in negotiations and implementation of corporate transactions, such as mergers, spin-offs and acquisitions of companies, including the performance of legal due diligence to identify contingencies, drafting of reports, advisory in defining the strategy to better protect client’s interests and to achieve the objectives of such transactions.
Our work consists in, among others, drafting all legal documents related to those corporate transactions, such as purchase and sale agreements, corporate acts, shareholders’ agreements, agreements with managers, collaterals, as well as assistance on the registration of corporate documents and other instruments before public bodies by coordinating the services of paralegals, and assistance on precedent conditions and post-closing matters necessary for the implementation of those transactions.
